This End User License Agreement, including any supplement terms (collectively, the “EULA”) is between You and Vidusoft Inc. and governs your use of the application, software, their associated upgrades, patches, updates, and related service (the Product) provided by Vidusoft Inc. Section 1. Delivery and Acceptance The Software provided on this site is deemed to be delivered and accepted by you on the earlier of the date it is made available for download or installation. You agree to be bound by the terms of this EULA from the acceptance date. If you do not have the authority to enter into this EULA or you do not agree to with its terms, do not Use our Software. Please disable or uninstall it and request a full refund within thirty days of the date of your initial purchase. Your right to refund applies only if you are the original end user license of the Software. Section 2. Grant of License Subject to your purchase of a license to the Software from an Approved Source and compliance with EULA, Vidusoft. Inc grants you a non-exclusive, non-transferable, non-sublicensed, non-commercial and personal license to use the Software. If your use of the Software exceeds your entitlement, you will pay for your excess use as required. THIS Product IS LICESNED TO YOU, NOT SOLD. As applicable, certain parts of the Product may be using third party features, some of which are managed by third-party providers for which additional terms may apply. You must comply with such additional terms. Vidusoft Inc respects and protects any intellectual property right so it only provides technical support instead of giving you a license to the third-party content, such as videos on the third-party websites. Vidusoft Inc. discourages any improper use of our Products. During the use of our Products, any violation of copyright law shall be held liable by the user. Section 3. Beta and Trial Use Beta versions of Vidusoft Inc. Products may contain bugs, errors, or other issues. If we provide you access to generally-available Vidusoft Products for limited, temporary trial use, your use is permitted for the period limited by the license key or by Vidusoft in writing. If there is no period identified, any trial use will expire thirty days after the Product is made available to you. If you fail to stop using it by the end of the trial period, you will be invoiced for the list price of the Product. Furthermore, beta and trial Products are provided “AS-IS” without support or any express or implied warranty or indemnity for any Products or issues. Section 4. Ownership The SOFTWARE is owned and copyrighted by Vidusoft Inc. The License confers no title or ownership in the Product and should not be construed as a sale of any rights in the Product. Section 5. Limitations and Restrictions Unless expressly authorized by Vidusoft Inc in writing or otherwise permitted under applicable law, you will not: (i) sell, resell, transfer, sublicense, or assign your rights under this license; (ii) modify, adapt or create derivative works; (iii) reserve engineer, decompile, decrypt, disassemble or otherwise attempt to derive the source code; (iv) make the functionality available to third parties, whether as an application service provider, or on an outsourcing, membership or subscription, rental, service bureau, cloud service, managed or hosted service, or other similar basis, (vi) remove, modify, or conceal any Product identification, copyright, proprietary, intellectual property notices or other marks; (vii) use the third-party content for any commercial purpose. Section 6. Use by Authorized Users You may allow authorized users to use the Product solely on your behalf for your internal operations. You are responsible for ensuring that authorized users comply with the terms of this EULA and you are liable for any breach of the same by such authorized users. Section 7. Third Party Products If you use the Product in conjunction with third party Products, you are responsible for complying with the third-party providers’ terms and conditions and privacy policies, and all such use is at your risk. Vidusoft Inc. does not provide support or guarantee ongoing integration support for Products that are not a native part of the Product. Section 8. Limited Warranty and Disclaimer a.Limited Warranty. Vidusoft Inc. warrants that the bugs of the Product will be fixed during the license term. This warranty does not apply if the software: (i) has been altered, except by Vidusoft Inc.; (ii) has not been installed, operated, repaired, or maintained in accordance with instructions supplied by Vidusoft Inc.; (iii) has been subjected to abnormal physical or electrical stress, abnormal environmental conditions, misuse, negligence, or accident; (iv) is licensed for beta or trial purposes or other circumstances for which the approved source does not receive a payment of a purchase price or license fee; or (v) has not been provided by an approved source. Vidusoft Inc. will use commercially reasonable efforts to deliver to you software free from any viruses, programs, or programming devices designed to modify, delete, damage or disable the software or your data. b.Exclusion of Warranty. The limited warranty will not apply if (a) the Product is not used in accordance with this EULA; (b) the Product or any part of the Product has been modified by any entity other than Vidusoft Inc. c.Disclaimer. You acknowledge and agree that the Product is provided on an “AS-IS” and “AS AVAILABLE” basis. And that your use of or reliance upon the Product and any third-party content and services accessed thereby is at your sole risk and discretion. Company and its affiliates, partners, suppliers and licensors hereby disclaim any and all representations, warranties and guaranties regarding the product and third-party content and services. Whether express, implies or statutory, and including without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Furthermore, Vidusoft Inc. makes no warranty that (i) the Product or third-party content and services will meet your requirements; (ii) the Product or third-party content and services will be uninterrupted, accurate, reliable, timely, secure or error-free; (iii) the quality of any products, services, information or other material accessed or obtained by you through Vidusoft Inc. will be as represented or meet your expectations; or (iv) any errors in the Product or third-party content and services will be corrected. Section 9. Term and Termination The EULA is effective from the earlier of the date you purchase, download or use the Product, until terminated according to its terms. You and Vidusoft Inc. may terminate this EULA, at any time, for any reason. Termination by Vidusoft Inc. will be effective upon (a) notice to you or (b) termination of your account (if any) or (c) at the time of Vidusoft’s decision to discontinue offering and/ or supporting the Product. This EULA will terminate automatically if you fail to comply with any of the terms and conditions of this EULA. Upon termination for any reason, you must immediately uninstall the Product and destroy all copies of the product in your possession. Section 10. Changes to This EULA or to the Product Vidusoft Inc. reserves the right, in its sole and absolute discretion, to revise, update, change, modify, add to, supplement, or delete articles in this EULA at any time for security, legal, best practice or regulatory reasons. Such changes will be effective with or, as applicable, without prior notice to you. You can review the most current version of this EULA. You are responsible for checking this EULA periodically for changes. If any future changes to this EULA are unacceptable to you or cause you to no longer be in agreement or compliance with this EULA, You may terminate this EULA in accordance with Section 9 and must immediately uninstall the Product and destroy all copies of the Product. Your continued use of the Product following any revision to this EULA constitutes your complete and irrevocable acceptance of any and all such changes. Vidusoft Inc. may modify the Product for any reason or without any specific reason, at any time and at its entire discretion, in particular for technical reasons such as updates, maintenance operations and/or resets to improve and/or optimize the Product. You agree the Product may install or download the modifications automatically.
